Terms & Conditions

1. Definitions

• "We / Us / Our" refers to Gasing Systems, based at 12 Jalan Padungan, 93100 Kuching, Sarawak, Malaysia.
• "Client / You" refers to the person or business engaging our services.
• "Services" refers to the project-based AI integration services described on our Solutions page.
• "Scope Document" refers to the written summary of what a project includes, sent before work begins.
• "Deliverable" refers to the output produced and transferred at the end of a project.

2. Acceptance of Terms

By engaging our services, you confirm that you are at least 18 years of age, have authority to enter into this agreement on behalf of yourself or your business, and accept these terms in full.

These terms form the agreement between you and Gasing Systems for all services. If you disagree with any part, do not engage our services.

3. Service Description

We offer three project-based services: Stock Forecast Sheet, Supplier Email Sorter, and Handover Pack. Full descriptions and current pricing are available on our Solutions page. Services are primarily offered to businesses based in Malaysia, though we may accept engagements from clients outside Malaysia at our discretion.

4. Client Responsibilities

• Provide accurate and complete data required for the agreed project in a timely manner
• Review shadow period results (where applicable) and provide feedback within the agreed timeframe
• Not use deliverables in ways that could cause harm to third parties or violate applicable law
• Maintain appropriate access controls for deliverables received
• Not resell or redistribute our deliverables without written agreement

5. Intellectual Property

Upon full payment, the deliverable produced for your specific project is transferred to you and you own it outright. You may modify, maintain, or hand it over to others without restriction.

General methodologies, templates, and approaches developed by Gasing Systems remain our property. What transfers to you is the specific output built for your project.

6. Payment Terms

All prices are quoted and payable in Malaysian Ringgit (RM). Current prices for each service are listed on the Solutions page. A scope document will be sent before work begins, which includes the confirmed price.

Payment is due within 7 days of receiving the scope document unless otherwise agreed in writing. Work will not begin until payment is confirmed.

Refunds: If we are unable to deliver the agreed scope for reasons within our control, we will refund the amount paid in full. If a project is cancelled by the client after work has begun, a partial refund may be issued at our discretion, proportional to the work not yet completed.

7. Service Delivery Terms

• Project timelines are estimates stated in the scope document. We will notify you promptly if a timeline cannot be met.
• The scope document defines what is and is not included. Changes to scope require a new written agreement and may affect price and timeline.
• Where an adjustment round is included in the scope, it covers one round of revisions based on live-use feedback within the stated period.
• Shadow periods (for the Supplier Email Sorter) run for the duration stated in the scope and require your active participation for review.
• Deliverables are transferred electronically at project completion.

8. Confidentiality

We treat all client data — including sales records, email content, and business configurations — as confidential. We will not share this data with third parties except as stated in our Privacy Policy or as required by law.

Client data used in a project will be deleted within 30 days of delivery unless you have requested otherwise in writing.

9. Disclaimers

Our services are provided in good faith based on the data you supply. We do not warrant that deliverables will produce specific business outcomes. Forecasting tools produce suggestions based on historical patterns and should be reviewed alongside your own judgement before acting on them.

We are not liable for decisions made based on our deliverables, including purchasing decisions made using stock forecast suggestions.

10. Limitation of Liability

To the maximum extent permitted under Malaysian law, our total liability to you in connection with any project shall not exceed the amount paid for that project. We are not liable for indirect, consequential, or incidental losses arising from use of our deliverables.

We are not liable for delays or failures caused by events outside our reasonable control, including internet outages, third-party platform changes, or failure of you to supply required data.

11. Indemnification

You agree to indemnify and hold Gasing Systems harmless from any claims, losses, or expenses arising from your misuse of our deliverables or your breach of these terms.

12. Termination

Either party may terminate an engagement in writing before work begins, with no obligation. Once work has begun, termination by the client does not automatically entitle them to a full refund (see Payment Terms).

We reserve the right to terminate an engagement if a client provides materially inaccurate data, fails to cooperate during the project, or breaches these terms. In such cases, fees for work completed to that point will be retained.

13. Dispute Resolution

We prefer to resolve any disputes informally. If you have a concern, contact us at [email protected] and we will respond within 10 business days.

If informal resolution is unsuccessful, disputes will be subject to the laws of Malaysia and the jurisdiction of the courts of Sarawak.

14. General Provisions

• Entire agreement: These terms, together with any signed scope document, form the complete agreement between us.
• Severability: If any clause is found unenforceable, the remaining clauses continue in effect.
• Waiver: Our failure to enforce a right does not constitute a waiver of that right.
• Assignment: You may not assign this agreement to a third party without our written consent.
• Notices: Notices should be sent to [email protected].

15. Changes to These Terms

We may update these terms from time to time. The "Last updated" date at the top of this page will reflect any changes. Continued engagement with our services after changes are posted constitutes acceptance of the updated terms. We will notify active clients of material changes by email where practical.
